Terms of Service

1. Acceptance of Terms

By accessing or using Callgenly ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Callgenly is an AI-powered receptionist platform that answers phone calls, books appointments, routes inquiries, takes messages, and handles customer interactions on behalf of your business. The Service includes a web dashboard, APIs, phone system integrations, AI processing, and calendar synchronization.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.

Each user account must represent a real person. Automated or bot accounts are not permitted. We reserve the right to suspend accounts that violate this requirement.

4. Organizations and Multi-Tenancy

The Service is organized around "organizations." Each organization is a separate tenant with isolated data, billing, and configuration. Organization administrators are responsible for managing members, roles, and permissions within their organization.

You may belong to multiple organizations. Data is never shared between organizations unless explicitly configured by authorized administrators.

5. Subscription and Billing

Callgenly offers tiered subscription plans billed monthly through Stripe. Your subscription includes a base allocation of call minutes, phone numbers, and AI processing. Usage beyond your plan's allocation is billed at the overage rates specified in your plan details.

All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. You can cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

Free trials provide full access for the specified duration. No credit card is required for the trial period. If you do not select a paid plan before the trial ends, your account will be paused and call handling will stop.

6. Acceptable Use

You agree not to use the Service to:

  • Make or facilitate robocalls, spam calls, or unsolicited telemarketing in violation of applicable laws (TCPA, TSR, etc.)
  • Engage in fraud, impersonation, or deceptive practices
  • Transmit malware, viruses, or any harmful code
  • Violate any applicable local, state, national, or international law
  • Harass, threaten, or harm any person
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to access data belonging to other organizations
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for any illegal purpose, including but not limited to phone fraud schemes

We reserve the right to suspend or terminate accounts that violate these terms without notice.

7. Phone Numbers and Porting

Phone numbers provisioned through Callgenly are leased, not owned. Numbers are allocated from our telephony provider (Twilio) and remain subject to their terms and applicable telecommunications regulations.

You may request to port existing phone numbers to Callgenly. Porting typically takes 2-4 weeks and is subject to your current carrier's release process. We are not liable for delays caused by third-party carriers. During the porting process, a temporary number will be provided.

If you cancel your subscription, provisioned numbers will be released after a 30-day grace period. Ported numbers can be ported out to another provider upon request.

8. AI and Automated Calls

The Service uses artificial intelligence to handle phone calls on your behalf. While we strive for accuracy and natural conversation, AI responses may occasionally be incorrect or inappropriate. You are responsible for configuring your AI agent's behavior, prompts, and escalation rules.

You acknowledge that callers may not always be aware they are speaking with an AI. You are responsible for compliance with any laws requiring disclosure of AI-generated communications in your jurisdiction.

9. Data Ownership

You retain ownership of all data you provide to the Service, including business information, AI configurations, and customer data. We retain ownership of the Service, its technology, AI models, and aggregated anonymized insights derived from platform usage.

You grant us a limited license to process your data solely for the purpose of providing the Service. We will not use your data to train AI models shared with other customers without your explicit consent.

You may export your data at any time through the dashboard or API. Upon account deletion, we will remove your data in accordance with our Privacy Policy.

10. Intellectual Property & Trademarks

The Service, including its design, source code, AI models, algorithms, documentation, user interface, and branding, is the exclusive property of Callgenly and is protected by United States and international intellectual property laws, including copyright, trademark, trade secret, and patent laws.

Trademarks. “Callgenly”, the Callgenly logo, the “C” mark, and all related names, logos, product and service names, designs, and slogans are trademarks of Callgenly or its affiliates. You may not use these marks without the prior written permission of Callgenly. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

Proprietary Technology. The AI call handling system, including but not limited to the real-time voice processing pipeline, intent detection engine, multi-provider telephony abstraction layer, AI agent configuration framework, call flow orchestration system, and automated appointment booking system, constitutes proprietary technology of Callgenly. Reverse engineering, decompilation, disassembly, or any attempt to derive source code or underlying algorithms from the Service is strictly prohibited.

Your Content. Custom AI configurations, prompts, workflows, knowledge bases, and business data you create within the Service remain your intellectual property. By using the Service, you grant Callgenly a limited license to process this content solely for the purpose of providing the Service to you.

Feedback. Any suggestions, ideas, enhancement requests, or recommendations you provide regarding the Service become the property of Callgenly. We may use such feedback for any purpose without obligation to you.

11. Service Level and Uptime

We target 99.9% uptime for the Service. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by third-party providers (Twilio, Stripe, cloud infrastructure), force majeure events, or circumstances beyond our reasonable control.

Enterprise customers may negotiate custom SLA terms with guaranteed uptime and support response times.

12. Limitation of Liability

To the maximum extent permitted by law, Callgenly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of business opportunities, or loss of data, arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim. This limitation applies regardless of the theory of liability.

13. Indemnification

You agree to indemnify and hold harmless Callgenly, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

Either party may terminate this agreement at any time. You may cancel your account through the dashboard or by contacting support. We may terminate or suspend your account if you violate these Terms, fail to pay fees, or if required by law.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export, after which it will be deleted in accordance with our Privacy Policy.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except where prohibited by law.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or dashboard notification at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance.
